Service 01

Corporate Set Up

Choosing the right form of entity is the first — and often the most consequential — compliance decision a business makes. We provide consulting for choosing an appropriate form of a company and expert assistance with its formation and registration.

From private and public limited companies to LLPs, Section 8 companies and branch or liaison offices of foreign entities, we handle the paperwork, filings and approvals so promoters can focus on the business itself.

Typical engagements

  • Advice on the appropriate form of entity for your business plan
  • Incorporation of private, public and one-person companies and LLPs
  • Name reservation, drafting of charter documents (MOA / AOA / LLP agreement)
  • Registrations, licences and post-incorporation compliance calendar

The Companies Act, 2013 and its rules change often, and the cost of a missed provision can be significant. We provide comprehensive guidance on compliance issues and regulatory requirements, advising on the various provisions of the Act and related rules as they apply to your specific situation.

Our partners act as a sounding board for boards, promoters and in-house teams — translating regulatory text into clear, practical courses of action.

  • Opinions on provisions of the Companies Act, 2013 and allied rules
  • Board and general meeting processes, resolutions and minutes
  • Compliance with SEBI (LODR) Regulations for listed companies

Service 05

Foreign Direct Investment

India rewards well-planned market entry — and penalises the poorly planned kind. We offer expert advice on FDI regulations, entry strategies and joint ventures in India, helping foreign investors and Indian counterparties structure transactions that are compliant from day one.

Working alongside multinational clients such as automotive, engineering and packaging majors has given the firm first-hand familiarity with cross-border compliance in practice.

Typical engagements

  • FDI policy and FEMA compliance advice
  • Entry strategy: wholly-owned subsidiary, joint venture, branch or liaison office
  • Reporting to the Reserve Bank of India (FC-GPR, FC-TRS and related filings)
  • Ongoing compliance for foreign-owned Indian entities

Service 06

Intellectual Property Rights

A brand or an invention protected late is often protected never. We assist businesses with trademarks, copyrights and patents to protect the intellectual property that gives them their edge.

We manage the process end to end — searches, applications, responses to objections and renewals — so registrations are obtained and, just as importantly, maintained.

Typical engagements

  • Trademark searches, applications, oppositions and renewals
  • Copyright registration for creative and software works
  • Patent filing support in coordination with technical experts
  • IP assignment and licensing documentation

Frequently asked questions

Straight answers to the questions we hear most often. For anything else, write to us.

Under Section 204 of the Companies Act, 2013, every listed company, every public company with a paid-up share capital of ₹50 crore or more or a turnover of ₹250 crore or more, and companies with outstanding loans or borrowings of ₹100 crore or more from banks or public financial institutions must annex a secretarial audit report (Form MR-3) to the Board's report. We can quickly confirm whether the requirement applies to your company.

With documents in order, a private limited company can typically be incorporated within 7–10 working days through the MCA's SPICe+ process, which combines name reservation, incorporation, PAN, TAN and other registrations. Timelines vary with name availability and government processing.

A statutory audit, conducted by a Chartered Accountant, examines the company's financial statements. A secretarial audit, conducted by a Practising Company Secretary, examines the company's compliance with the Companies Act, SEBI regulations, FEMA and other applicable laws, along with board processes and secretarial standards. The two are complementary.

In most sectors, yes — 100% FDI is permitted under the automatic route, meaning no prior government approval is needed. Certain sectors carry caps or require government approval, and investments from countries sharing a land border with India need prior clearance. We assess the applicable route before any structure is finalised.

Yes. While the firm is based in Pune, we act for clients across India, including listed companies and multinationals. Most secretarial and advisory work is handled through a combination of on-site visits and secure document exchange.

Fees depend on the scope and complexity of the engagement — a one-time incorporation is priced very differently from an annual secretarial audit of a listed company. Contact us with a brief description of your requirement and we will revert with a clear fee estimate before any work begins.
